1 Agreement to Terms

By accessing our B2B platform and placing orders, you agree to be bound by these Terms of Service. These terms apply to all business partners, including wholesalers, importers, distributors, and retail chains. If you do not agree to these terms, please discontinue use of our services.

2 B2B Eligibility

Our services are exclusively for business customers. To establish a business account, you must:

  • Provide valid business registration documents and tax identification
  • Meet our minimum order quantity (MOQ) requirements
  • Have a legitimate business address and contact information
  • Accept our credit terms and payment conditions

3 Orders and Pricing

Order Acceptance: All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.

Pricing: Wholesale prices are provided in our B2B catalog and may vary based on order volume, customization requirements, and market conditions. Prices are exclusive of shipping, taxes, and customs duties unless otherwise stated.

MOQ: Minimum order quantities apply to all product lines. Custom orders may have higher MOQ requirements.

4 Payment Terms

  • New Customers: 30% deposit required upon order confirmation, balance due before shipment
  • Established Partners: Net 30-60 days payment terms available upon credit approval
  • Accepted Methods: Wire transfer (T/T), Letter of Credit (L/C), PayPal for smaller orders
  • Late Payments: Interest of 1.5% per month may be charged on overdue balances

5 Shipping and Delivery

Delivery Terms: We ship worldwide using FOB, CIF, or DDP terms as agreed. Standard production lead time is 30-45 days after order confirmation.

Risk of Loss: Risk transfers to buyer according to agreed Incoterms. Buyers are responsible for customs clearance and import duties in destination countries.

Delays: While we strive to meet delivery schedules, we are not liable for delays caused by force majeure, customs issues, or carrier problems.

6 Product Quality and Compliance

All products are manufactured to meet international safety standards including EN71, ASTM F963, and CPSIA. We use FSC-certified wood and non-toxic finishes.

Products are inspected before shipment. Any quality issues must be reported within 7 days of receipt with photographic evidence. We will replace defective items or issue credit at our discretion.

7 Returns and Refunds

  • Defective Products: We will replace or refund defective items within warranty period
  • Custom Orders: Non-refundable unless defective or not as specified
  • Return Authorization: All returns require prior written approval (RMA number)
  • Restocking Fee: 20% restocking fee may apply to non-defective returns

8 Intellectual Property

All product designs, catalogs, images, and branding materials are our intellectual property. Partners may use provided marketing materials for sales purposes only and must not reproduce or modify designs without written permission.

Custom designs created for clients remain their property, but we retain the right to manufacture similar products for other customers unless exclusivity is contractually agreed.

9 Limitation of Liability

Our liability is limited to the value of the specific order in question. We are not liable for indirect, consequential, or punitive damages including lost profits, business interruption, or reputational harm. Some jurisdictions do not allow limitation of liability, so these limitations may not apply in all cases.

10 Governing Law and Disputes

These terms are governed by the laws of [Your Jurisdiction]. Any disputes will be resolved through arbitration in accordance with international commercial arbitration rules.

Both parties agree to attempt good-faith negotiation before initiating formal dispute resolution procedures.

11 Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be communicated to active business partners via email. Continued use of our services after changes constitutes acceptance of modified terms.
